Shiftmove GmbH, Warschauer Straße 57, 10243 Berlin, registered in the Commercial Register of the Charlottenburg Local Court under HRB 247276 B (hereinafter: Shiftmove) is authorized to sell the products of its affiliated companies (hereinafter: Shiftmove products) in its own name and for its own account.

The affiliated companies of the Shiftmove Group include

a. Avrios International AG, Weststrasse 50, 8003 Zurich, Switzerland, commercial register entry number: CHE-480.579.000 at the commercial register office: Zurich, VAT number CHE-480.579.000 VAT (hereinafter: Avrios) 

b. Vimcar GmbH, Warschauer Str. 57, 10243 Berlin, Germany, registered in the Commercial Register of the Charlottenburg Local Court HRB 154163 B, VAT number: DE292305932 (hereinafter: Vimcar)

c. as well as other affiliated companies that already exist, will be founded in the future or will be included in the group through future corporate transactions.

The following General Terms and Conditions (hereinafter "GTC") apply to the ordering and use of the products

a. which Shiftmove has listed on its website,
‍
b. which are offered via an online store operated by Shiftmove or
‍
c. which are submitted through an individual contract offer by Shiftmove.

The contract for the products listed there is concluded exclusively with Shiftmove.

Shiftmove distributes the products of the Shiftmove Group. For this reason, the general terms and conditions of the respective affiliated company apply to the individual products. For the products of Avrios and Vimcar, therefore, the General Terms and Conditions of these companies apply in their currently valid version, available at: https://vimcar.de/agb, https://www.avrios.com/de/legal/agbs.  

"User", "Purchaser" or "Customer" shall hereinafter mean any user of Shiftmove Group products. This applies irrespective of whether this is a natural or legal person and irrespective of their status as a consumer within the meaning of Section 13 BGB or entrepreneur within the meaning of Section 14 BGB.

If the User orders further Shiftmove products, the most recent of the agreed GTC shall apply to all orders placed by the User, unless otherwise agreed with the User.

The application of third-party General Terms and Conditions or the inclusion of the User's General Terms and Conditions is excluded unless Shiftmove expressly agrees to their application in writing.

Amendments to these GTC may be agreed by Shiftmove's offer and the User's acceptance in accordance with the following provisions, provided that the amendment does not significantly shift the relationship between performance and consideration to the User's disadvantage. Shiftmove's offer shall be made by notifying the User of the changes in text form (notification of change). If the User does not respond to Shiftmove's offer or does not object within six (6) weeks of receipt of the change notification, this shall constitute acceptance of the offer, with which the changes shall become effective. The User shall be informed of these consequences separately in the notification of change. If the user objects in due time, the previous GTC shall continue to apply. Timely dispatch of the notice of objection in text form shall suffice to meet the deadline. In the event of an objection, Shiftmove shall be entitled to terminate the contract in accordance with the GTC of the respective product booked with the affiliated company.

The law of the Federal Republic of Germany shall apply exclusively, to the exclusion of private international law (IPR) and the UN Convention on Contracts for the International Sale of Goods (CISG). This also applies to deliveries abroad. To the extent permitted by law, the exclusive place of jurisdiction for all disputes shall be the registered office of Shiftmove.

By entering into these GTC, you authorize Shiftmove to process your personal data. The attached contract for order processing is part of this agreement.
